Item 5.07Submission of Matters to a Vote of Security Holders.

 

On May 23, 2019, NCS Multistage Holdings, Inc. (the “Company”) held its 2019 Annual Meeting of Stockholders (the “Annual Meeting”). Two items of business were acted upon by stockholders at the Annual Meeting: (1) the election of three Class II  Directors nominated by the Board of Directors to serve until the 2022 Annual Meeting of Stockholders and until their respective successors have been duly elected and qualified and (2) ratification of the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the year ending December 31, 2019. Total votes eligible to be cast at the Annual Meeting as of the April 1, 2019  record date were 46,669,918, of which 42,093,879 votes were cast in person or by proxy, consisting of approximately 90.2% of the total eligible votes to be cast.
